ECA 5334 (CORPORATE FINANCE AND CORPORATE GOVERNANCE)

Corporate Finance deals with the financing and investment decisions of firms. Firms can raise debt, equity, or own financing, or any combination of them to facilitate their operation and investment decisions. The composition of these types of financing determines firms’ capital structure. The mainstream corporate finance literatures put the capital structure issue as the center stage of analysis. Recently, in line with the advances in the economics analysis of firm and contracts and also in the cross-country empirical analysis, the nature and scope of corporate finance has expanded further. Some topics like corporate governance, merger and acquisition, corporate restructuring, and comparative analysis of ownership have benefited from these recent advances. This course is intended to focus on these topics. Prior to discussing these topics, some conceptual foundations of corporate finance and capital structure will be presented.
